Cake & Bake Club Limited (“the Company”, “we”, “us”) operates the website cakeclub.co.uk and supplies wholesale frozen baked goods to trade customers in the United Kingdom. These terms and conditions govern all orders placed through our website and any other trading arrangements between the Company and its customers. By placing an order or registering a trade account, you agree to be bound by these terms.

1. Definitions
“Customer” means the business entity that registers a trade account and places orders with the Company.
“Goods” means the frozen baked products and any other items listed for sale on cakeclub.co.uk.
“Order” means a purchase request submitted by the Customer through the website.
“Contract” means the agreement formed between the Company and the Customer upon dispatch of an Order.
2. Eligibility
2.1 The Company sells exclusively to trade customers. All purchases are made for business purposes. We do not supply to consumers.
2.2 To place an order, the Customer must register an account. By registering, the Customer confirms that all information provided is accurate and complete.
2.3 The Customer is responsible for maintaining the confidentiality of their account credentials and for all activity carried out under their account.
2.4 The Company reserves the right to suspend or terminate accounts where these terms are breached.
3. Orders and contract formation
3.1 Orders may be placed through cakeclub.co.uk. An order confirmation sent by email constitutes acknowledgement of receipt only and does not constitute acceptance of the Order.
3.2 A binding Contract is formed between the Company and the Customer at the point of dispatch of the Goods. The Company reserves the right to decline or cancel any Order prior to dispatch.
3.3 Where an Order is cancelled by the Company before dispatch, the Customer will be notified promptly and any payment already taken will be refunded in full.
4. Pricing and VAT
4.1 All Goods are frozen food products and are zero-rated for VAT purposes under United Kingdom tax legislation. No VAT is applied to orders.
4.2 Prices displayed on the website are the prices payable at checkout. The Company endeavours to ensure all pricing is accurate at all times.
4.3 In the event of a pricing error identified prior to dispatch, the Company will notify the Customer and offer the option to proceed at the correct price or cancel the Order with a full refund. The Customer is under no obligation to proceed.
4.4 The Company reserves the right to amend pricing at any time. The price applicable to any Order is the price confirmed at checkout.
5. Payment
5.1 The Company accepts payment by credit card, debit card and direct debit. Payment is due in full at the point of order.
5.2 The Company reserves the right to suspend account access and withhold fulfilment of outstanding orders in the event of non-payment or failed payment.
6. Delivery
6.1 The Company offers next-day delivery across the United Kingdom on orders placed before the daily cut-off time displayed at checkout.
6.2 Delivery is made to the address specified by the Customer at checkout. Orders cannot be redirected once dispatched. The Customer is responsible for ensuring the delivery address is accurate before completing an order.
6.3 Delivery charges, where applicable, are displayed at checkout prior to order completion. Free delivery is available on orders meeting the qualifying threshold as displayed on the website.
6.4 Whilst the Company will make all reasonable efforts to fulfil deliveries on the expected date, it does not guarantee delivery on specific dates during peak periods, public holidays or where delivery is affected by circumstances beyond its reasonable control. The Customer will be notified of any material delays.
7. Receipt of goods
7.1 The Customer must inspect all deliveries upon receipt. Any shortage, damage or discrepancy must be reported to the Company within 24 hours of delivery by email or through the live chat facility on the website.
7.2 The Company dispatches Goods in insulated packaging designed to maintain the cold chain in transit. The Customer must transfer Goods to a freezer immediately upon receipt and store them in accordance with the instructions on the packaging. The Company accepts no liability for Goods that deteriorate as a result of inadequate storage following delivery.
8. Products
8.1 All Goods are supplied frozen. Products must be stored and defrosted in accordance with the instructions provided on the packaging and on the website.
8.2 Full allergen information is provided with every product and is available on the website. The Customer is solely responsible for communicating accurate allergen information to their own customers in compliance with applicable food labelling legislation.
8.3 The Company reserves the right to make minor amendments to product recipes, ingredients, packaging or specifications without prior notice where such changes do not materially alter the product. The Customer will be notified of any material changes.
9. Returns and refunds
9.1 Where Goods arrive damaged, incorrect or materially not as described, the Customer must notify the Company within 24 hours of delivery, providing details of the issue and photographic evidence where reasonably practicable.
9.2 Upon verification of a valid claim, the Company will at its discretion arrange a replacement, account credit or refund.
9.3 The Company does not accept returns or provide refunds for Goods that have been correctly delivered and are no longer required by the Customer.
9.4 Refunds are processed to the original payment method and are typically completed within 5 to 10 business days.
10. Cancellations
10.1 The Customer may request cancellation of an Order at any time prior to dispatch by contacting the Company as soon as practicable. The Company will make reasonable efforts to action the cancellation.
10.2 Orders cannot be cancelled once dispatched.
11. Loyalty programme
11.1 The Company operates a loyalty programme under which points (“Choc Chips”) are awarded on qualifying purchases and may be redeemed in accordance with the terms set out on the loyalty programme page of the website.
11.2 Choc Chips have no monetary value, are non-transferable and may not be exchanged for cash.
11.3 The Company reserves the right to amend, suspend or discontinue the loyalty programme at any time, providing reasonable notice of any material changes.
12. Promotions and discount codes
12.1 Promotional offers and discount codes are subject to any specific terms stated at the point of offer and may be withdrawn at any time at the Company’s discretion.
12.2 Promotions and discount codes may not be combined unless expressly stated otherwise.
13. Intellectual property
13.1 All content on cakeclub.co.uk, including but not limited to text, images, branding, photography and product descriptions, is the property of the Company or is used under licence. No content may be reproduced, distributed or used for any commercial purpose without the prior written consent of the Company.
14. Limitation of liability
14.1 The Company’s liability to the Customer in respect of any Order is limited to the value of that Order.
14.2 The Company is not liable for any indirect, consequential or economic losses arising from an Order, a delay in delivery or any other matter connected with the supply of Goods.
14.3 The Company is not liable for failures or delays caused by circumstances beyond its reasonable control, including but not limited to courier failures, extreme weather events or disruption to supply chains.
14.4 Nothing in these terms excludes or limits the Company’s liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be lawfully excluded or limited.
15. Data protection and privacy
15.1 The Company processes personal data in accordance with its Privacy Policy, available at cakeclub.co.uk/privacy-policy, and in compliance with applicable data protection legislation including the UK GDPR.
16. Governing law and jurisdiction
16.1 These terms and conditions are governed by and construed in accordance with the laws of England and Wales.
16.2 Any dispute arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Amendments to these terms
17.1 The Company may update these terms and conditions at any time. The current version will be published at cakeclub.co.uk/terms. Continued use of the website or placement of orders following any amendment constitutes acceptance of the revised terms.
